$SPAC

A blank cheque company that never found a company. So the mandate was widened.

CEO · CIO · Chairman · … Now on Solana SPAC Man: a cartoon investor with round glasses, an earbud and a black puffer vest
The mandate

The mandate was widened.

The Company was formed to effect a merger, share exchange or asset acquisition with one or more operating businesses. It reviewed the field and elected to acquire memes.

01

Raise first, decide later

A blank cheque company sells shares before it owns anything. The money arrives against a promise to go and find a business worth buying.

02

Most never find one

The mandate runs, the clock runs out, and the vehicle liquidates having acquired nothing. This is the ordinary outcome, not the failure case.

03

We stopped treating that as a problem

The Company has no operating target, no pipeline, and no intention of building either. What it has is a fee, a treasury, and a very short list of things worth owning.

So we acquire memes instead. The Company moved to Solana, where the memes are. Same mandate, faster blocks, more targets.
The loop

One thing, four times.

There is no second business line, no roadmap, and nothing to build. The entire enterprise is this circuit, running until it stops.

01

Trade

Every buy and every sell of $SPAC pays pump.fun's creator fee. There's no way to hold an opinion about this token that doesn't fund the facility.

02

Build the treasury

The Company's creator fees collect in the acquisition wallet. They do nothing at all until there's enough to be worth doing something with.

03

Acquire

The facility buys Solana memes from the basket. Which ones is a matter of public argument, and then a matter of public record.

04

Distribute

The acquired tokens go out to eligible holders. The Company keeps the press release and gives away the position.

The portfolio

The memes in our basket.

Instead of betting on one meme, $SPAC acquires the culture. Every holding is a live Solana token, linked to its address.

The percentages are the share of each acquisition the facility puts into each holding. Prices are live. Once the treasury wallet is published, each card also shows whether the treasury actually holds it right now.

The fee

The token can't tax you.

$SPAC is a plain SPL token. Send it from one wallet to another and the whole amount lands. The only fee is pump.fun's creator fee on trades, and the Company points its share at the basket.

No hook. No tax function. Nothing to change.

On its old chain the Company needed a hook bolted to the pool to collect anything. On Solana it doesn't: pump.fun already pays a creator fee on every trade, so the facility runs on that.

Wallet-to-wallet transfers never pay anything, and the token has no fee logic of its own, so nobody can switch one on later.

The filing

Questions the Company anticipates.

Everything the Company would be asked in a room it will never be invited into, answered in advance and at its own expense.

What business does the Company intend to acquire?

Memes. The mandate was widened once, from operating businesses to memes, and it will not be widened again.

Which memes?

The ones that are working. Selection is public, argued about in the open, and revocable. The current basket is listed above with contract addresses.

Why Solana?

That's where the memes are. The Company followed the targets, the volume and the culture. Same mandate, cheaper transactions, more to acquire.

What happens to what the treasury buys?

It's distributed to eligible holders. The Company keeps the announcement and gives away the position.

What if the treasury acquires something that goes to zero?

The Company will describe this as a strategic repositioning and carry on. No acquisition carries a guarantee, and several of them will not work.

Is there a product beyond this?

No. There's a fee, a treasury, and a distribution. Anything further would be scope creep, and scope creep is how a blank cheque company ends up owning a car wash.

Does the Company hold anything back?

No team allocation dressed up as a treasury, no private round, and the team takes nothing from the facility. The creator fees go to the treasury wallet, and the treasury buys the basket.

How does anyone check the Company's work?

The treasury is a public Solana wallet. Its balances are read live on this page and every transaction is on Solscan, so nothing about it has to be taken on trust.
